TERMS OF USE

1. About these Terms

These Terms of Use and Membership Terms (the “Terms”) govern access to and use of the websites and services operated by TOMEK AI sp. z o.o., ul. Bóżnicza 15/6, 61-751 Poznań, Poland, NIP: 7831827065 (“we”, “us” or “our”) under deushomo.com, tomek.ai and any related subdomains, member areas or embedded tools (together, the “Websites”).

This legal framework applies to free memberships, paid memberships, founding memberships, newsletters, digital content, consultations, meeting registration, hosted sessions, member submissions, contact forms, applications, events and related online or offline services made available by us.

By accessing the Websites, creating an account, subscribing, purchasing a membership, booking a meeting, registering for an event, sending a proposal or otherwise using the service, you agree to these Terms and to the policies linked from them.

2. Definitions

“Member” means any user with a free or paid membership or other registered access status.

“Paid Membership” means any paid subscription tier, whether monthly, yearly or otherwise recurring or non-recurring, that grants access to paid benefits.

“Founding Membership” means any premium, founder, founding or equivalent tier designated by us from time to time.

“Meeting” means any online or offline meeting, webinar, session, consultation, call, event, workshop, office hour, member-led activity or similar interaction.

“Third-Party Tools” means external providers that support the service, including, without limitation, hosting providers, Ghost, Stripe, Tally, Calendly, Zoom, email tools, event tools, CRM tools, analytics providers, advertising platforms, support tools, verification tools and similar providers selected by us.

3. Eligibility and authority

You may use the service only if you have legal capacity to enter into binding agreements under applicable law.

If you use the service on behalf of a company, fund, organisation or other entity, you represent and warrant that you are authorised to bind that entity.

4. Our service model

Our service may include a combination of public content, private content, newsletters, member areas, free and paid memberships, registration-based access, approval-based access, meetings, hosted sessions, applications, participant interactions, partnership discussions, sponsorship-related interactions and other digital or physical activities.

We may add, remove, change, suspend or discontinue any feature, benefit, workflow, provider, access condition, communication channel or part of the service at any time, subject to mandatory law and any express commitments made at the time of purchase.

5. Membership tiers and benefits

Free memberships may provide limited access to content, selected communications or selected opportunities determined by us.

Paid memberships provide access to the benefits stated on the pricing, checkout or offer page in effect at the time of purchase. Benefits may include access to content, archives, meetings, registrations, proposal rights, priority access or similar features.

Founding memberships are premium tiers. Where a founding tier includes additional benefits, such as one-to-one sessions, priority review or additional access, the exact scope, cadence, format and delivery method are determined by the then-current offer page and may be delivered in a reasonable format selected by us.

Certain benefits may be subject to capacity limits, approval, prior registration, verification, attendance rules, availability windows, fair-use limits, operational constraints or separate event rules.

6. Pricing, billing and renewals

Prices, billing periods, taxes, included benefits and renewal logic are displayed on the relevant pricing or checkout page.

Paid memberships may renew automatically unless cancelled before the next billing date, to the extent supported by the billing system used.

We use third-party payment providers, including Stripe through Ghost or similar infrastructure. By making a purchase, you also agree to the applicable terms and privacy notices of the payment provider used.

You are responsible for providing accurate billing details and for keeping them up to date.

7. Refunds, withdrawal and billing issues

Refunds, cancellations, withdrawal rights, failed payments and related billing matters are governed by our Refund and Billing Policy, which forms part of these Terms.

Where mandatory consumer law grants you rights that cannot be excluded or limited, those rights apply despite anything to the contrary in these Terms.

8. Accounts, access and security

You are responsible for maintaining the confidentiality of any login credentials, magic links, checkout links, member-only links or other access credentials used to access the service.

You may not share restricted access links, member-only resources, event links or login access in a way that circumvents the intended access model of your plan or a specific event.

We may require identity checks, additional information, payment confirmation or other verification before granting or restoring access to selected areas, meetings, events or premium benefits.

9. Meetings, events and consultations

Access to a Meeting may depend on membership tier, prior registration, approval, identity verification, payment status, capacity limits, technical requirements, conduct history or additional criteria communicated by us.

We may refuse, cancel, reschedule, interrupt, remove or revoke access to any Meeting where reasonably necessary for security, legal compliance, quality control, moderation, abuse prevention, operational reasons or a breach of these Terms.

Meeting formats may change, including from one-to-one to group, group to webinar, webinar to recorded format, online to offline, or vice versa, provided the overall benefit remains reasonably aligned with the purchased or described offering unless mandatory law requires otherwise.

We do not guarantee that any Meeting will be accepted, scheduled at a preferred time, delivered by a particular person, lead to publication, lead to an introduction, or produce any specific personal, professional, financial, investment or business outcome.

We may record Meetings, events or parts of them where lawful and appropriate. If recording is planned, we may notify participants through the registration flow, event page, meeting interface, email notice or other reasonable means.

10. Offline events and physical participation

If we organise or support offline events, workshops or physical meetings, participation may be subject to venue rules, safety rules, identity checks, age restrictions, capacity limits, dress or conduct rules, badge rules, photography rules or third-party organiser requirements.

Participants attend physical events at their own risk and are responsible for travel, insurance, visas, accommodation and compliance with local rules unless expressly stated otherwise by us.

11. Member submissions, proposals and hosted sessions

If we allow members to submit topics, applications, proposals, sponsorship inquiries, partnership inquiries, requests to host sessions or other materials, submission does not guarantee acceptance, publication, response, access, promotion or scheduling.

We may approve, reject, postpone, moderate, edit, remove, archive or stop any proposed session, event, submission or hosted activity at our discretion, subject to mandatory law.

You remain responsible for the legality, accuracy and appropriateness of any materials, statements or content you submit or present.

12. Acceptable use

You may not use the service in a way that is unlawful, abusive, fraudulent, deceptive, defamatory, infringing, harmful to others, harmful to our infrastructure, or inconsistent with the intended purpose of the service.

  • use another person’s identity, payment details or credentials without permission;
  • attempt to obtain unauthorised access to paid content, meetings, member areas or internal systems;
  • share restricted access links, recordings, notes or member-only resources in breach of the applicable rules;
  • record, scrape, harvest, dox, harass, threaten or impersonate participants without authorisation;
  • upload, transmit or distribute malware, spam, unlawful content or infringing materials;
  • use the service for criminal, manipulative, deceptive or abusive conduct.

13. Intellectual property

Unless stated otherwise, all intellectual property rights in the Websites, branding and Content belong to us or our licensors.

Your membership gives you access rights only. It does not transfer ownership of any intellectual property.

You may not reproduce, redistribute, republish, sell, sublicense, train models on, commercially exploit or otherwise use our Content beyond what is expressly permitted by law or by us in writing.

14. User content and feedback

If you submit content for publication, presentation, review, a Meeting or a hosted session, you grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, distribute, communicate, archive and use that content to the extent reasonably necessary to operate, review, promote or document the relevant activity, unless we agree otherwise in writing.

If you send us suggestions, feedback, ideas or proposals without a separate written agreement, you acknowledge that we may use them without restriction or compensation, to the extent permitted by law.

15. Third-party tools and external services

The service may rely on Third-Party Tools selected by us from time to time. Those tools may affect logins, billing, scheduling, meetings, communications, forms, analytics, advertising, hosting or member access.

We are not responsible for the independent acts or omissions of third-party providers, except to the extent liability cannot be excluded under applicable law.

Third-party services may have their own terms, privacy notices or technical conditions, and you may need to accept or comply with them in order to use particular features.

16. No professional, investment or fiduciary advice

Unless we expressly agree otherwise in writing for a specific service, the Websites, Content, Meetings and communications are provided for general informational, educational, editorial or community purposes only.

They do not constitute legal, tax, accounting, regulatory, medical, employment, investment or other professional advice, and they do not create any fiduciary, advisory, brokerage, placement, recruitment, agency or partnership relationship unless we expressly agree otherwise in a separate written contract that complies with applicable law.

17. Suspension and termination

We may suspend, restrict, refuse, or terminate your access, registration, membership, attendance, participation, or use of any part of the Services immediately or with effect from a specified date if, in our reasonable judgment:

(a) you breach these Terms, any posted rules, event conditions, or applicable law;

(b) you fail to make a payment when due, initiate an improper chargeback, or otherwise create material billing risk;

(c) you misuse the Services, submit false, misleading, infringing, unlawful, abusive, disruptive, or manipulative content, or engage in conduct that creates legal, reputational, operational, security, or community risk;

(d) your conduct is materially inconsistent with the stated purpose, integrity, safety, quality standards, or proper functioning of the Services, Meetings, Events, or community environment;

(e) your participation is reasonably considered likely to undermine the safety, trust, legitimate interests, or meaningful operation of the Services, Meetings, Events, or community;

(f) we are required to do so for legal, regulatory, compliance, security, technical, fraud-prevention, or risk-management reasons; or

(g) we discontinue, modify, limit, restructure, or no longer make available all or part of the Services, a membership tier, a Meeting format, or an Event format.

We may also refuse any application, registration, renewal, submission, attendance request, proposal, or participation request where reasonably necessary to protect the safety, integrity, purpose, quality, or proper functioning of the Services or community.

Nothing in these Terms creates any obligation on our part to approve, maintain, renew, continue, or restore any particular membership, access level, participation opportunity, proposal, event place, meeting slot, or relationship.

Where suspension, restriction, or termination results from your breach, misconduct, misuse, payment failure, unlawful conduct, abuse, disruption, fraud risk, or other user-attributable grounds, we may terminate access immediately and no refund, credit, or compensation will be due except where required by mandatory law.

Where suspension, restriction, non-renewal, or termination is taken by us for service-protection, operational, legal, compliance, security, technical, event-management, restructuring, or community-integrity reasons not primarily caused by your breach or misconduct, we may, in our sole discretion and subject to mandatory law, allow continued access until the end of the then-current billing period, provide a prorated refund, provide service credit, transfer the booking or participation right, or provide no refund where the relevant benefit has already been materially provided.

You may cancel a paid membership through the relevant billing interface or by contacting us, subject to the billing rules then in force.

Termination, cancellation, suspension, or restriction does not affect rights, licences, permissions, obligations, disclaimers, limitations of liability, payment obligations, or liabilities accrued before the effective date of the relevant action.

18. Service availability, disclaimers and force majeure

To the maximum extent permitted by law, the Websites and services are provided on an “as available” and “as is” basis.

We do not guarantee uninterrupted availability, error-free operation, continued availability of any feature, acceptance into any Meeting, any specific result, any level of engagement, or any commercial, investment, reputational or strategic outcome.

We are not responsible for delay or failure caused by events beyond our reasonable control, including power failures, internet outages, labour disputes, cyber incidents, platform outages, governmental actions, public-health restrictions, venue issues or force majeure events.

19. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, opportunities, revenue, goodwill, reputation, data or expected benefits.

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the Websites, Content, memberships, Meetings, consultations, events or these Terms will not exceed the total amount paid by you to us during the 12 months preceding the event giving rise to the claim, and in any event will not exceed USD 1,000 or the equivalent amount in local currency.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory law.

20. Indemnity

To the extent permitted by law, you agree to indemnify and hold us harmless from claims, losses, liabilities, costs and expenses arising out of your unlawful use of the service, your breach of these Terms, or your infringement of the rights of another person or entity.

21. Privacy

Our processing of personal data is described in our Privacy Policy. You must provide accurate, current and complete information when using the service or communicating with us.

22. Changes to the service and these Terms

We may update these Terms to reflect changes in law, technology, providers, operations, pricing, benefits, risk controls or the structure of the service.

The current version will be published on the Websites with its effective date. Where required by law, we will provide additional notice before material changes take effect.

23. Governing law and jurisdiction

These Terms are governed by Polish law, unless mandatory consumer-protection law applicable to you provides otherwise.

Any dispute arising from these Terms will be submitted to the competent courts in Poland, subject to any mandatory consumer-protection rules on jurisdiction.
